Terms of Service & End-User License Agreement (EULA)
These Terms of Service and End-User License Agreement (“Terms”) form a binding agreement between you (the end-user or entity using the software/services, “you”, “your”) and Accountger Solutions (“Accountger™”, “we”, “us”, or “our”). These Terms govern your access to and use of Accountger™ products and services, including the website, Self-Care Portal, desktop billing application, mobile apps, professional services (GST, audit, ITR filing, consulting), and digitalization engagements (website creation, hosting, API integrations, ad-hoc development). By downloading, installing, activating or using any Accountger™ product or service, you agree to be bound by these Terms and the separate Privacy Policy.

Definitions
In these Terms:
- “Accountger™” means Accountger Solutions and its affiliates providing the software and services described herein.
- “Software” means the desktop application, mobile apps, plugins, and any software components provided by Accountger™.
- “Services” means professional services (GST, audit, ITR, consulting), hosting, digitalization work, and any online features such as the Self-Care Portal.
- “You” means the individual or entity who installs, uses or subscribes to Accountger™ products and services.
License Grant & EULA
Subject to these Terms and payment of applicable fees, Accountger™ grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes only. This EULA does not transfer ownership of any intellectual property; Accountger™ retains all rights, title and interest in and to the Software and Services.
You may receive a license key, activation mechanism, or account credentials. Unauthorized copying, modification, reverse-engineering, distribution, or public performance of the Software is prohibited except as expressly permitted by law or with our prior written consent.
Permitted Use & Restrictions
- You shall use the Software and Services only for lawful business purposes in accordance with these Terms.
- You shall not: sublicense, resell, rent, lease, remove proprietary notices, or use the Software to provide hosting services to third parties unless expressly authorized.
- Client data, including invoices, ledgers and tax documentation, is your responsibility. You must obtain valid consents for any third-party data you process.
Subscriptions, Fees & Payment
Access to certain features of Accountger™ may require subscription fees. Fees, billing cycles, and payment terms are provided at purchase or in the Self-Care Portal. You are responsible for all applicable taxes. Payment methods and invoicing terms will be as stated at the time of subscription.
Late payments may result in suspension of services. Accountger™ reserves the right to change pricing for renewals with prior notice as described at the time of billing.
Free Trials & Promotions
Free trials or promotional offers (if any) are subject to additional terms specified during sign-up. Trial periods are limited and may not be combined with other offers. Accountger™ may terminate or modify a promotional offer at any time without liability.
Support & Maintenance
Accountger™ provides support channels and onboarding as described in your purchase agreement or subscription plan. Support response times vary by plan level. Software maintenance and minor fixes are provided as part of active subscriptions; major upgrades may be subject to separate terms.
Updates, Patches & Upgrades
Accountger™ may deliver updates, patches, or upgrades to improve functionality or security. You agree that we may automatically deliver such updates. Continued use of updated software constitutes acceptance of the updated terms if updated functionality is covered by these Terms.
Intellectual Property & Trademarks
All intellectual property rights in the Software, Services, documentation, graphics, logos and trademarks are owned by Accountger™ or its licensors. Accountger™, the Accountger™ logo and other marks are trademarks of Accountger Solutions. Use of these marks requires our express written permission.
Privacy & Data
Accountger™’s Privacy Policy explains how we collect, use and protect personal data. For desktop software the design is offline-first; cloud-hosted reporting is optional and subject to your consent. By using the Software and Services you agree to the Privacy Policy available at /privacy.html.
Disclaimer of Warranties
Except where required by applicable law, Accountger™ provides the Software and Services "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, Accountger™ disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, Accountger™ will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, loss of profits, business interruption, loss of business data, or other economic loss arising out of or in connection with the use or inability to use the Software or Services.
Accountger™’s aggregate liability for direct damages under these Terms will not exceed the amounts actually paid by you to Accountger™ in the twelve (12) months preceding the claim.
Indemnity
You agree to indemnify, defend and hold Accountger™ and its officers, employees and agents harmless from and against any claims, liabilities, damages, losses and expenses arising from your use of the Software or Services, breach of these Terms, or violation of applicable laws.
Termination & Suspension
Accountger™ may suspend or terminate your access to the Software or Services for violation of these Terms, non-payment, or to comply with legal obligations. Upon termination your license ends and Accountger™ may delete or retain data as required by law or as otherwise stated in the Privacy Policy.
Refunds & Cancellation
Refunds and cancellation policies are specified at the point of sale or in the subscription agreement. Unless stated otherwise, subscription fees are non-refundable. For services such as audits or consulting, cancellation fees may apply where work has commenced.
Third-Party Components
The Software or Services may incorporate third-party libraries, components or services subject to separate license terms. Use of such components is governed by their respective licenses.
Changes to these Terms
Accountger™ may modify these Terms to reflect changes in legal, technical or business requirements. We will publish updated Terms on this page and notify users where required. Continued use after change constitutes acceptance of the revised Terms.
Disputes and Remedies
Parties will attempt to resolve any dispute arising under these Terms through good faith discussions. If unresolved, the parties may pursue available remedies under applicable law. Nothing in these Terms limits a party’s ability to seek injunctive relief where necessary to protect its intellectual property or confidential information.
